These Terms of Service ("Terms") govern your access to and use of the website (https://complizenglobal.com), services, deliverables, and any related offerings provided by Complizen Global Private Limited ("Complizen Global," "Company," "we," "us," or "our"), a company incorporated under the laws of India.

By accessing our website, submitting inquiries through our contact form, or engaging our consulting services, you ("Client," "you," or "your") agree to be bound by these Terms. If you do not agree to these Terms, please do not use our website or services.

For enterprise engagements, a separate Master Services Agreement (MSA) or Statement of Work (SOW) may supplement these Terms. In the event of any conflict, the MSA or SOW shall prevail over these Terms.

The specific scope, deliverables, timelines, and fees for any engagement shall be defined in a separate proposal, SOW, or engagement agreement.

3.1 AI-Assisted Services

Complizen Global utilizes enterprise-grade Artificial Intelligence (AI) tools, machine learning models, and automated technologies as part of its service delivery methodology. AI may be used for analysis, research, content generation, code development, documentation support, automation workflows, and other consulting activities.

3.2 AI Limitations and Disclaimers

• AI-generated outputs are reviewed, validated, and refined by our qualified consultants before delivery. However, AI outputs may occasionally contain inaccuracies, and final deliverables are provided on an "as-reviewed" basis.
• Complizen Global does not guarantee that AI-generated content is free from errors, omissions, or biases. Our consultants apply professional judgment to all AI-assisted work products.
• AI tools are used as assistive technology; they do not replace professional expertise, human oversight, or domain-specific judgment.

3.3 Data Protection in AI Usage

• Telemetry and data-sharing features are disabled (turned OFF) across all AI platforms we use. Your data will NOT be used to train AI models, to the extent that provider controls allow.
• AI providers offer different subscription tiers (personal/individual and enterprise/professional). On personal tiers, providers may retain input and output data for a limited period per their policies. On enterprise tiers, providers generally do not retain data and provide contractual zero-training guarantees.
• Complizen Global may use either personal or enterprise tiers depending on the engagement and operational requirements. Regardless of the tier, we disable all available telemetry and training data options.
• Data processed through AI services is subject to the respective provider's retention policies based on the tier in use. We do not maintain AI-processed data beyond what is necessary for deliverables.

As a client or prospective client, you agree to:

• Provide accurate, complete, and current information when submitting inquiries or during engagements.
• Cooperate with our team by providing timely access to relevant systems, documentation, personnel, and information required for service delivery.
• Ensure that any data, materials, or access credentials you provide do not violate any third-party rights, confidentiality obligations, or applicable laws.
• Not use our website or services for any unlawful, fraudulent, or malicious purpose.
• Comply with all applicable laws, regulations, and industry standards relevant to your organization and the services being provided.
• Obtain all necessary authorizations and consents before sharing personal data or sensitive information with us.

5.1 Our Intellectual Property

All content on our website — including but not limited to text, graphics, logos, icons, images, brand elements, the Security Posture Grader tool, design layouts, and software code — is the property of Complizen Global Private Limited and is protected by applicable intellectual property laws.

You may not copy, reproduce, distribute, modify, create derivative works from, publicly display, or commercially exploit any of our website content without our prior written consent.

5.2 Engagement Deliverables

Intellectual property rights in deliverables created during consulting engagements shall be governed by the applicable engagement agreement, MSA, or SOW. Unless otherwise agreed in writing:

• Pre-existing intellectual property and methodologies of Complizen Global remain our exclusive property.
• Custom deliverables created specifically for a client engagement shall be assigned or licensed to the client as specified in the engagement agreement.
• Generic frameworks, templates, tools, and knowledge developed by Complizen Global (including those enhanced through engagements) remain our property and may be reused in other engagements.

5.3 Client Materials

Any materials, data, or content you provide to us during an engagement remain your property. You grant us a limited, non-exclusive license to use such materials solely for the purpose of delivering the agreed services.

6.1 Both parties agree to treat as confidential all non-public information disclosed during the course of an engagement ("Confidential Information"), including but not limited to business strategies, technical data, security assessments, architecture details, financial information, and proprietary methodologies.

6.2 Confidential Information shall not be disclosed to any third party without the prior written consent of the disclosing party, except:

• To employees, contractors, or advisors who need to know such information for legitimate business purposes and are bound by confidentiality obligations.
• When required by law, regulation, or court order, with prompt notice to the disclosing party where legally permissible.

6.3 Confidentiality obligations shall survive the termination of any engagement for a period of three (3) years, unless a different period is specified in the applicable engagement agreement.

7.1 To the maximum extent permitted by applicable law, Complizen Global shall not be liable for any indirect, incidental, special, consequential, punitive, or exemplary damages, including but not limited to loss of profits, data, business opportunity, or goodwill, arising out of or in connection with:

• Your use of our website or services
• Any errors, inaccuracies, or omissions in our deliverables
• Any unauthorized access to or alteration of your data
• Any AI-generated content or outputs
• Any third-party actions, products, or services

7.2 Our total aggregate liability for any claims arising out of or related to these Terms or our services shall not exceed the total fees paid by you to Complizen Global for the specific engagement giving rise to the claim, during the twelve (12) months preceding the claim.

7.3 Nothing in these Terms shall limit liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded or limited under applicable law.

8.1 Website "As Is"

Our website and its content are provided on an "AS IS" and "AS AVAILABLE" basis without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement.

8.2 No Guarantee of Results

While we strive to deliver high-quality consulting services aligned with international standards and best practices, we do not guarantee specific outcomes, certification results, regulatory approval, or compliance determinations. The effectiveness of our recommendations depends on your organization's implementation, resources, and adherence to our guidance.

8.3 Security Posture Grader

The Enterprise Security Posture Grader tool on our website provides indicative assessments based on self-reported inputs and standardized frameworks. It is intended for informational and educational purposes only and does not constitute a professional security audit, certification, or formal risk assessment. Results should not be relied upon as a substitute for a comprehensive security evaluation.

8.4 Third-Party Services

We are not responsible for the availability, accuracy, or performance of third-party services, platforms, or tools referenced on our website or used in our service delivery (including AI platforms, cloud services, and communication tools).

You agree to indemnify, defend, and hold harmless Complizen Global, its directors, officers, employees, and agents from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or related to:

• Your breach of these Terms
• Your use of our website or services
• Your violation of any applicable law or regulation
• Any data or materials you provide to us that infringe third-party rights
• Any unauthorized or improper use of our deliverables

When using our website, you agree not to:

• Attempt to gain unauthorized access to any portion of the website, server, or connected systems
• Use automated tools (bots, scrapers, crawlers) to access or extract data from our website without prior written consent
• Interfere with or disrupt the website's operation, security, or integrity
• Submit false, misleading, or spam content through our contact form
• Use the website for any purpose that is unlawful or prohibited by these Terms
• Reverse engineer, decompile, or attempt to extract the source code of the website or the Security Posture Grader tool

11.1 When you submit information through our contact form, you consent to us contacting you regarding your inquiry using the information you provided.

11.2 We will use your contact information to respond to your inquiry, discuss potential engagements, and provide relevant service information. We will not add you to marketing communications without your explicit consent.

11.3 All information submitted through our contact form is processed in accordance with our Privacy Policy.

12.1 Fees for consulting services shall be as specified in the applicable proposal, SOW, or engagement agreement.

12.2 Unless otherwise agreed in writing, invoices are payable within thirty (30) days of the invoice date.

12.3 Late payments may accrue interest at the rate of 1.5% per month or the maximum rate permitted by law, whichever is lower.

12.4 All fees are exclusive of applicable taxes (including GST), which shall be charged in addition where applicable.

13.1 These Terms apply from the date you first access our website or engage our services and remain in effect until terminated.

13.2 Either party may terminate a consulting engagement as specified in the applicable engagement agreement, MSA, or SOW.

13.3 We reserve the right to suspend or terminate your access to our website at any time, without notice, if we reasonably believe you have violated these Terms.

13.4 Termination does not affect any rights, obligations, or liabilities accrued prior to termination. Sections on Intellectual Property, Confidentiality, Limitation of Liability, Indemnification, and Governing Law shall survive termination.

14.1 These Terms shall be governed by and construed in accordance with the laws of India.

14.2 Any disputes arising out of or in connection with these Terms shall first be attempted to be resolved through good-faith negotiation between the parties.

14.3 If a dispute cannot be resolved through negotiation within thirty (30) days, it shall be submitted to binding arbitration in accordance with the Arbitration and Conciliation Act, 1996 (as amended), with the seat of arbitration in Mumbai, India.

14.4 The courts of Mumbai, Maharashtra, India shall have exclusive jurisdiction over any matters not subject to arbitration.

Neither party shall be liable for any failure or delay in performance due to causes beyond its reasonable control, including but not limited to natural disasters, pandemics, government actions, war, terrorism, cyber attacks, power failures, telecommunications failures, or failure of third-party services (including AI platforms and cloud infrastructure).

If any provision of these Terms is held to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable while preserving its original intent.

These Terms, together with our Privacy Policy and any applicable engagement agreements, MSAs, or SOWs, constitute the entire agreement between you and Complizen Global with respect to the subject matter hereof. These Terms supersede all prior or contemporaneous communications, proposals, and representations (whether oral or written) regarding our website and services, unless superseded by a signed engagement agreement.

We reserve the right to modify these Terms at any time. Material changes will be communicated by updating the "Last Updated" date on this page. Your continued use of our website or services after such changes constitutes acceptance of the revised Terms. We encourage you to review these Terms periodically.
